1. Eligibility & Business Use

Marginkart operates as a B2B wholesale supply platform delivering groceries, spices, dry fruits, and related products to businesses.

By using our Services, you confirm that:

• You are purchasing products for business/commercial use.
• You are authorized to act on behalf of your business.
• You will provide accurate business details and verification documents (e.g., GST, business proof, ID) when requested.
• You meet all legal requirements to conduct business in India.

2. Account Registration & Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• Any activity performed through your account is deemed authorized by you.
• You must notify us immediately if you suspect unauthorized access.
• Marginkart may disable or restrict accounts involved in misuse, fraud, or policy violations.

3. Orders & Acceptance

Placing an order does not guarantee acceptance.

We may accept, reject, or cancel an order based on:

• Stock availability
• Delivery feasibility
• Payment or outstanding dues
• Account verification
• Fraud or suspicious activity

Bulk or high-value orders may require additional confirmation.

If an order is cancelled after payment, refunds will be issued as per our Refund Policy.

4. Pricing, Billing & Taxes

• Product prices may change at any time without notice.
• Prices shown at the time of order confirmation are final.
• Delivery charges (if applicable) will be displayed during checkout.
• All applicable taxes (GST or others) will be charged as per government norms.
• Any typographical or pricing errors may result in cancellation or correction.

5. Payment Terms

Payment must be made at the time of delivery, unless pre-approved in writing.

We do not offer credit unless a separate written agreement exists.

Failure to pay may result in:

• Order cancellation
• Account suspension
• Recovery action or legal steps

6. Delivery Terms

• Delivery timelines depend on location, order time, and stock availability.
• Orders placed before the cut-off time may be delivered the next working day.
• Delivery delays may occur due to operational, logistical, or weather issues.
• Customers must be present to receive and verify items.
• Ownership transfers to the customer upon delivery.

7. Substitution Policy

In case a specific brand/variant is unavailable:

• We may offer an alternative product of equal value or similar category.
• Substitutions will only be delivered after customer approval.

8. Product Quality, Returns & Replacements

• Customers must inspect items at the time of delivery.
• Damaged, missing, or incorrect items can be returned immediately.
• After accepting delivery, return requests must be made within 48 hours.
• Products marked "No Return / No Exchange" are final once delivered.
• Replacement/refund decisions depend on inspection and product condition.

We reserve the right to refuse returns if:

• The product is used, opened, or altered
• The request is made after 48 hours
• The product falls under no-return categories

• Availability is subject to stock levels and supplier availability.
• We do not guarantee continuous availability of any listed product.
• Certain items may be discontinued, replaced, or temporarily out of stock.

11. Prohibited Activities

You agree not to:

• Use the platform for unlawful or fraudulent purposes.
• Attempt to hack, disrupt, or misuse our systems.
• Scrape, copy, resell, or misuse platform data.
• Impersonate another business or provide false information.

12. Intellectual Property

• All content, features, and design elements of Marginkart belong to Marginkart.
• You may not reproduce or distribute platform content without written consent.

13. Limitation of Liability

To the maximum extent permitted by law:

• Marginkart is not liable for indirect, incidental, or consequential damages.
• We are not responsible for losses due to delays, stock outages, cancelled orders, or incorrect information provided by the customer.
• Our total liability is limited to the amount paid for the specific order.

14. Indemnification

You agree to indemnify and hold Marginkart harmless from claims, losses, damages, or liabilities arising from:

• Violation of these Terms
• Misuse of the Service
• Providing incorrect or fraudulent information

15. Force Majeure

Marginkart is not liable for delays or failures caused by events beyond our control, including:

• Natural disasters
• Strikes or labor issues
• Supply chain disruptions
• Transportation issues
• Government actions
• Internet/telecom failures

16. Termination

Marginkart may suspend or terminate accounts if:

• Terms are violated
• Fraudulent activity is detected
• Payments are pending or disputed

You may stop using the Service at any time.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall fall under the exclusive jurisdiction of Bangalore, Karnataka courts.

18. Changes to Terms

We may update these Terms at any time. Continued use after changes indicates acceptance of the updated Terms.
